110.

FILMING AT MEETINGS

Please note that this meeting may be filmed or recorded by the Council for live or subsequent broadcast via the Council’s internet site or by anyone attending the meeting using any communication method. Although we ask members of the public recording, filming or reporting on the meeting not to include the public seating areas, members of the public attending the meeting should be aware that we cannot guarantee that they will not be filmed or recorded by others attending the meeting. Members of the public participating in the meeting (e.g. making deputations, asking questions, making oral protests) should be aware that they are likely to be filmed, recorded or reported on.  By entering the meeting room and using the public seating area, you are consenting to being filmed and to the possible use of those images and sound recordings.

 

The chair of the meeting has the discretion to terminate or suspend filming or recording, if in his or her opinion continuation of the filming, recording or reporting would disrupt or prejudice the proceedings, infringe the rights of any individual or may lead to the breach of a legal obligation by the Council.

DECLARATIONS OF INTERESTS

A member with a disclosable pecuniary interest or a prejudicial interest in a matter who attends a meeting of the authority at which the matter is considered:

 

(i) must disclose the interest at the start of the meeting or when the interest becomes apparent, and

(ii) may not participate in any discussion or vote on the matter and must withdraw from the meeting room.

 

A member who discloses at a meeting a disclosable pecuniary interest which is not registered in the Register of Members’ Interests or the subject of a pending notification must notify the Monitoring Officer of the interest within 28 days of the disclosure.

 

Disclosable pecuniary interests, personal interests and prejudicial interests are defined at Paragraphs 5-7 and Appendix A of the Members’ Code of Conduct.

  • Daniela Parry – Member of the Licensing Committee. It was also noted that she had resigned from the CC.

URGENT BUSINESS

The Chair will consider the admission of any late items of urgent business. (Late items will be considered under the agenda item where they appear. New items will be dealt with at items 14 & 19 below)

Minutes:

An update was provided on the BBC programme. It was confirmed that a plan would be presented at the July Board meeting, together with a summary of ongoing work through the CC and SAC.

 

An update on the Panorama Room project confirmed that work was progressing as planned. Engagement with the Planning Team and the Consultation Officer had resulted in valuable recommendations, which had slightly extended the project timeline.

Feedback from the Advisory Committee & Consultative Committee (VERBAL)

Minutes:

The Board noted previous discussions regarding the potential merger of committees. It was agreed that the committees would remain separate for the present, while discussions continued how greater efficiencies could be achieved in the future.

Minutes:

The Board considered the appointments report. The Board agreed to maintain the independence of the Appointments and FRACC Committees due to the unprecedented level of Board turnover, ensuring continuity in governance.

 

Recommendations:

 

1.1   Cllr Eva Bell was nominated for the role of Chair, with the nomination seconded by Daniela Parry. Cllr Rosie Latchford was nominated for the FRACC Committee by Cllr Daniela Parry. Cllr Daniela Parry was nominated by Cllr Eva Bell and Seconded by Cllr Da Costa.

 

1.2 Cllr Eva Bell was nominated for the role of Chair, with the nomination seconded by Daniela Parry

 

1.3 It was agreed extend the term of office for Claire Pape Independent Financial Advisor (voluntary role) for 1 year.

 

1.4 Appointed four Trustee Board members to act as APTL Company Directors;

- Cllr Da Costa

- Cllr Melanie Gingell

-Cllr Daniela Parry

- Cllr Marie Kirstensen

 

1.5 Agreed which member of APTL is proposed to act as Chair of the APTL Board:

 

Nick da Costa was nominated for Chair by Daniela Parry and seconded by Eva Bell. The nomination was approved.

 

1.6 It was agreed to extend the terms of office for APTL Non-Executive Directors, Andrew Morton and Jamie Copas for an additional period of one yea

 

1.7 The Committee appointed two trustee board members to the capital programme board:

 

Cllrs Eva Bell and Nick da Costa were appointed to the Capital Committee.

 

1.8 The following appointments were noted:

 

  • Rosie – Safeguarding Lead.
  • Nick da Costa – Whistleblowing Lead.
  • Marie Kirstensen – Equality, Diversity and Inclusion Lead.

 

1.9 The Committee noted membership of the Alexandra Park and Palace Statutory Advisory Committee, as listed in Appendix 1;

Minutes:

The Head of Development presented the report regarding the recruitment of a Co-opted Development Trustee. The purpose of the report was to provide a background of approvals received thus far towards the recruitment of a Co-opted Development Trustee and to provide an update on next steps.

The Board noted that the proposal had originally been approved in October 2022 but had been paused. The revised proposal included changes to the role, including:

 

  • Chairing a volunteer advocacy group.
  • Supporting fundraising activities through engagement with funders.
  • Reducing the term of office from three years to two years.
  • Attending at least two APPB meetings each year.

 

It was confirmed that recruitment was expected to commence in June, led by the internal HR team, with recommendations to be presented to the July Board meeting and formal approval sought in September.

 

The Board discussed the importance of improving diversity within fundraising recruitment.

 

An update was also provided on the Youth Trustee role. It was noted that further development work was required, with ongoing engagement through the Young People's Network. The Board was advised that the programme was likely to be developed over the next recruitment cycle.

 

The Board approved the proposed changes and delegated responsibility for the recruitment process to the Appointments Panel.

 

Recommendations:

 

2.1 Noted the revised role description which has been updated since 2022 to reflect the Charity’s new Vision, Goals, Fundraising Strategy and Strategic Plan. Changes are detailed below and include the responsibility for the co-optee to chair a working group of volunteer advocates raising support and awareness of Alexandra Palace projects in relevant sectors.

 

2.2 Confirmed the  approval from the Board to delegate recruitment and appointment of the Co opted Development Trustee to the selection panel comprised of the Chair, Chief Executive and Head of Development.

The Board noted that the Strategic Plan had been agreed at the previous meeting.

 

Members discussed the restoration of the BBC studios and expressed disappointment that the project had effectively been deferred until 2030. It was noted that a new BBC Director General had been appointed and that there may be opportunities to reopen discussions.

 

The Board heard that while positive relationships with the BBC continued, the organisation had confirmed that it was unable to provide capital funding. It was recognised that restoration costs were estimated at approximately £50 million.

The Board agreed that securing £5 million through the National Lottery Heritage Fund for the Transmitter Hall would provide a catalyst for future discussions regarding the wider BBC Wing restoration. A phased approach was considered the most realistic strategy.

 

Recommendations:

 

1.1  The new Board noted the background of the process to create a ten-year Strategic Plan for APPCT.

 

1.2 The Chair approved the Foreword to the Strategic Plan prior to publication
